AFFILIATE AGREEMENT

This agreement describes the terms and conditions for participation in the LasVegasTickets.com affiliate program. In this agreement, the term “Affiliate” refers to you (the applicant). In this agreement, “LVT” refers to LasVegasTickets.com, a Nevada Corporation, with whom you are entering this agreement. By applying to the ‘LVT’ affiliate program, you are confirming that you have read the agreement and agree to the Affiliate Program and Terms and Conditions.

(1) AFFILIATE PROGRAMS

There are three program types offered from LasVegasTickets.com. The Affiliate Program selected will be the Gold Program chosen by the applicant on the Sign-Up form. Note: You cannot recruit your own sub-affiliates.

(2) UNACCEPTABLE WEBSITES

An affiliate will be removed or declined from a program if said affiliate link to or include content that:

• Is in any way obscene, unlawful, violent, harmful, threatening, defamatory, harassing, or promotes pornographic or sexually explicit materials.
• Promotes or depicts violence (i.e., abuse, murder, cruelty, etc.)
• Promotes discrimination based on race, gender, religion, disability, sexual orientation, age, or nationality.
• Promotes or offers peer to peer file sharing methodologies that may allow consumers to infringe the intellectual property rights of others.
• Violates copyrights, trademarks, or any other intellectual property rights of LasVegasTickets.com, LLC., and its subsidiaries and affiliates or any other person or entity.
• Includes LasVegasTickts.com or any other variations or misspellings thereof in the registered domain name.
• Or in any other way that violates any law and regulation.
  If your site(s) are not in compliance with any of these requirements (or any other terms and conditions of this agreement), we may, in our sole discretion and without limiting any other right or remedy to which we may be entitled, (a) remove the Publisher site from the Program; (b) terminate this Program Agreement/ and/or (c) require you to refund any payments made by LasVegasTickets.com during such non-compliance.

  (3) COMMISSIONS

  For a sale to generate a commission to an Affiliate, the customer must complete the order form on Affiliates White Label Website and remit full payment for the product. Your commissions are based on monthly volume of sales.
  Your commission rate can be determined by you, the affiliate, however we offer two commission structures. One at 10% commission and one at 20% commission. You must determine which commission rate you’ve selected to LVT before we launch your white label.

  (4) PAYMENT

  An Affiliate will receive payment(s) the month following when the event occurred. This is to avoid chargebacks to the affiliate.
  Payments are received in the form of a check or bank wire.

  (5) REFUNDS

  A: No Refunds will be provided once the Terms and Agreement are accepted and the CC Auth Form has been completed and submitted.
  B: There are no Refunds or Exchanges on Ticket Sales. Refunds will only be provided if the event has cancelled and is not rescheduled.

  (6) USAGE AND OBLIGATIONS

  Affiliates are permitted to use the LasVegasTickets.com brand and marketing resources available in the Affiliates section of the LasVegasTickets.com application. Logos and other assets cannot be modified. The Affiliate does not gain any trademark, copyright or any other rights to these materials.
  The Affiliate will never imply that they are acting on behalf of LasVegasTickets.com and will never advertise LasVegasTickets.com products directly. The Affiliate will never bid for advertisements that compete with LasVegasTickets.com.
  The Affiliate will never represent themselves, LasVegasTickets.com or their relationship with LasVegasTickets.com in a false or misleading way.
  The Affiliate will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing LasVegasTickets.com.

TERMS AND CONDITIONS

Either party has the right to terminate the agreement immediately without prior notice.
If the Affiliate terminates the agreement, all past sales will be paid within 30 days. No further commissions from ‘LVT’ will be paid from the date of termination for any future customer transactions even if the portal site is still up and has not been deleted as of the date of termination.
If “LVT” chooses to terminate the agreement, any balance will be paid within 14 days of termination date.

PROGRAM REQUIREMENTS

White-Label Minimum Sales Requirements as follows

1: White Label Cost: Startup cost $350 upfront / $300 per month service fees.
A: Monthly Fees waved with minimum $10,000.00 per month in sales.

B: Credit Card Authorization form required: LVT will charge the card on file on the first of every month for the monthly service fee..

1. ‘LVT’ can terminate Affiliate White Label Website and Agreement in its entirety and at its discretion in writing to Affiliate via email. The White Label will be removed seven days after email cancellation notice date.
2. Affiliate must notify in writing to ‘LVT’ seven days prior the first of the month if they’ve chosen to cancel the agreement. Upon receipt of cancelation by

   ‘LVT; ‘LVT’ will cease affiliates white label immediately. If no cancellation notice is provided by Affiliate, Affiliate agrees to Pay LasVegasTickets.com $300.00 on the 1st of every month to remain active. Automatic renewal charges will be applied on the 1st of every month unless Affiliate notifies ‘LVT’ by email, that Affiliate choses to terminate the agreement. Affiliate must notify ‘LVT’ seven days prior to end of the current month in order for automatic renewal to be cancelled for the following month. If notified less than seven days to the beginning of the new month, automatic charges will apply for the next month.

TERMINATION COMMUNICATION:

Both Affiliate and ‘LVT’ agree that any termination must be communicated via email. For Affiliate termination, please send all termination notices to: [email protected].

GOVERNING LAW

This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of Nevada, without regard to its conflict of laws rules.

ARBITRATION

All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the State of Nevada. An award of arbitration may be confirmed in a court of competent jurisdiction.

MODIFICATION

We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of commission schedules, payment procedures and Affiliate Program rules.
